Business Integrity Forum

TOZZI has decided to adhere to the Business Integrity Forum promoted by Transparency International Italia and has therefore adopted the Carta Etica dei Principi PMI.

The Carta Etica dei Principi is a spontaneous declaration made by the company adhering to these principles in its business practice to contribute creating an environment characterized by transparency, integrity, and trust for the activities developed both inside and outside its organization.




Code of Ethics

TOZZI deemed it appropriate and necessary to adopt a Code of Ethics that defines values, principles and guidelines to which all Administrators, Employees and Collaborators under any title, of their and of subsidiary Companies, must adapt their behaviors sharing patterns, roles and rules and assuming personal responsibility towards inside and outside of Company for any violations, even though it does not follow from any liability to third parties.

Knowledge and compliance with the Code of Ethics by all those who work for TOZZI are vital for establishing and continuing an employment relationship. The Code is also made available to all those with whom TOZZI have a business with, both in Italy and abroad.

By adopting this Code TOZZI sought to define a set of rules:

  • Of conduct related to Customers, Vendors, Colleagues, Competitors, Communities and Environment where TOZZI make consistent their activities inside and outside the company, demanding at the same time respect from all stakeholders identified;
  • Of TOZZI organization and management, aimed at realization of an effective monitoring system on activities and to ensure the prevention of the offences commission prescribed by the Italian Decree No. 231/01 on administrative liability of firms.


Organizational Pattern

TOZZI Companies have defined and adopted, as a result of a risk assessment activity on sensitive areas (potential crime areas), an Organizational Pattern for prevention of offenses made in accordance with Italian Legislative Decree 08/06/2001, No.231.

The Decree 231 defines a set of typical criminal offences that, if committed by persons responsible for undertaking activities, or persons under Officers’ supervision, may give rise to administrative sanctions to be charged to the firm.

The Decree 231 gives companies the opportunity to protect themselves in case of criminal proceedings that are activated for the offences foreseen by the regulations, by adopting an Organizational Pattern that specifies procedures and tools for prevention of such offences.

TOZZI Companies strategically decided to adopt this Pattern and have stated in it all practices, standards and responsibilities to be taken in order to prevent the Commission of offences like: corruption (toward public institutions or private customers), balance sheets falsification, money laundering, cross-border crime, trademarks or patents counterfeiting, violations of rules on hygiene and safety at work, environmental crimes, etc… Everyone working in TOZZI (employees, partners, vendors, contractors, etc…) shall adapt their behavior according to the Pattern which is an integral part of the contractual arrangements.

The Patterns are made ​​available on TOZZI web site and can be freely accessed by all.

Surveillance Body (regulation)

To ensure that the Organizational Pattern is actually spread, applied and that is effective, TOZZI Companies have appointed a Surveillance Body with the task to conduct inspection, monitoring and auditing the Pattern implementation, to investigate specific situations which could potentially bring about, or has arisen, an administrative responsibility for the company and to report to the Board of Directors the need to update or revise the Pattern itself.

The Surveillance Body acts in accordance with a Regulation that is made ​​available on Tozzi website and is freely accessible by all.
